1. Introduction

These Terms and Conditions ("Terms") govern the supply of goods by G&R Essentials Ltd ("we", "us", "our"), a company registered in England and Wales (Company No. 17205811), to trade customers ("you", "the Buyer").

By placing an order or opening a trade account with us, you agree to be bound by these Terms. These Terms apply to all contracts for the sale of goods between us, to the exclusion of any other terms you may seek to impose.

2. Trade Accounts

• Our products are sold exclusively to registered trade businesses. We do not sell to members of the general public.
• To open a trade account, you must submit a completed application providing accurate business details including your company name, registered address and trading type.
• We reserve the right to approve or decline any trade account application at our discretion.
• You are responsible for maintaining the security of your account details and for all orders placed under your account.
• We reserve the right to suspend or terminate a trade account where these Terms are breached.

3. Orders

• Orders may be placed by phone, email or via our website contact form.
• All orders are subject to product availability. We will notify you promptly if a product is out of stock.
• A minimum order value of £150 excluding VAT applies to all orders unless otherwise agreed in writing.
• We reserve the right to refuse or cancel any order at our discretion, in which case any payment received will be refunded in full.
• Order confirmation is sent via email. The contract is formed upon our acceptance of your order, not upon receipt of your enquiry.

4. Pricing and Payment

• All prices are quoted exclusive of VAT unless stated otherwise. VAT will be charged at the applicable UK rate.
• Prices are subject to change without notice. The price applicable to your order is the price confirmed at the time of order acceptance.
• Payment terms are agreed individually with each trade account. Standard terms are payment on invoice unless credit terms have been agreed in writing.
• We reserve the right to charge interest on overdue invoices at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
• Title to goods remains with G&R Essentials Ltd until payment is received in full.

5. Delivery

• We aim to dispatch all orders within 1–2 working days of order confirmation. Delivery typically takes 2–5 working days within the UK, though this is not guaranteed.
• Delivery charges, where applicable, will be communicated at the time of order.
• Risk in the goods passes to you upon delivery. You are responsible for inspecting goods on arrival and notifying us of any shortages or visible damage within 24 hours of receipt.
• We are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to carrier delays, adverse weather or supply chain disruptions.

6. Returns and Faulty Goods

• We do not accept returns of goods that have been ordered correctly and delivered in good condition, except where required by law.
• If goods arrive damaged or faulty, you must notify us within 24 hours of delivery with photographic evidence. We will arrange a replacement or credit note at our discretion.
• Goods must not be returned to us without prior written authorisation. Unauthorised returns will not be accepted.
• We reserve the right to inspect returned goods before issuing any credit or replacement.

7. Product Information

• Product descriptions and images on our website are for illustrative purposes only. Actual products may vary slightly from those depicted.
• It is your responsibility to ensure that products are suitable for your intended purpose and comply with any applicable regulations for your trade sector.
• We make no warranties as to the fitness of goods for any particular purpose beyond those implied by law.

8. Limitation of Liability

• Our total liability to you in connection with any order shall not exceed the value of that order.
• We are not liable for any indirect, consequential or economic loss, including loss of profits or business opportunity.
• Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.

9. Intellectual Property

All content on this website — including text, images, logos and design — is the property of G&R Essentials Ltd and is protected by applicable intellectual property laws. You may not reproduce or use any content without our prior written consent.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We reserve the right to update these Terms at any time. The current version will always be published on this page. Continued use of our services after any changes constitutes your acceptance of the revised Terms.
